These Terms govern your use of Thank You Page Suite ("the App"), a Wix App Market application published by Karpo Studio. Two distinct user groups are covered:

- Merchants — Wix site owners who install the App on their Wix Stores site and configure it from the Wix Dashboard.

- End-customers — site visitors who interact with the App's rendered widgets on a merchant's Thank-You page after completing a purchase.

By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

The App enhances the Wix Stores Thank-You page with seven configurable sections: estimated delivery window, loyalty points display, customer feedback (1–10 rating + optional comment), conditional Google review prompt, personalised thank-you notes, social follow, and product care notes. Section availability depends on the merchant's plan tier (Free / Pro / Unlimited). Merchants configure the App from a Dashboard page in their Wix site.

To install the App as a merchant you must:

- Be at least 18 years old (or the age of majority in your jurisdiction).

- Hold a valid Wix account with an active Wix Stores store.

- Have legal authority to enter into these Terms on behalf of yourself or the entity you represent.

- Comply with all laws applicable to your e-commerce activity, including consumer-protection, tax, and data-protection law.

End-customers interact with the App only through the merchant's site and accept no separate contract with Karpo Studio. Their relationship is with the merchant; Karpo Studio's processing of end-customer data is governed by the Privacy Policy.

Merchants may use the App to:

- Collect and review customer feedback on their own orders.

- Display order-related information (delivery ETAs, loyalty points, personalised notes) to their own customers after checkout.

- Generate analytics on the feedback their own customers submit.

You may not:

- Use the App in violation of Wix's App Market Terms, Terms of Use, or any law applicable to your operation.

- Use the App to collect feedback for any business other than the Wix store on which it is installed.

- Reverse-engineer, decompile, or attempt to extract the App's source code, except where such restriction is prohibited by mandatory law.

- Circumvent the App's plan tier limits (section count, monthly submission cap, personal-note rule count) through technical means.

- Submit, encourage, or solicit content that contains illegal material, harassment, special-category personal data (Art. 9 GDPR — health, religion, sexual orientation, etc.), or information about identifiable third parties without their consent.

- Build a contact database or marketing list from feedback submissions for use outside the original order context, or share, sell, or transfer end-customer data to third parties (per Wix App Market Guidelines).

Karpo Studio may suspend or terminate access if these prohibitions are breached.

- Pricing tiers (Free, Pro, Unlimited) and any free trial are displayed in the Wix App Market listing and in the App's Plan Details modal.

- Billing is operated by Wix. Merchants pay Wix; Wix pays Karpo Studio a revenue share. Karpo Studio does not directly bill merchants and does not handle merchant payment credentials.

- Refunds, upgrades, downgrades, and cancellations follow Wix's billing rules, not Karpo Studio's.

- A merchant who downgrades may keep stored configuration (e.g. extra personal-note rules above the new plan's limit), but only the rules permitted by the new plan will run on the live Thank-You page. The same applies to sections gated by the plan.

Karpo Studio operates from Germany and holds a German VAT identification number (USt-IdNr.).

Revenue-share payments from Wix to Karpo Studio are received without German VAT being added to the payout, which is consistent with the cross-border B2B rules that apply to Karpo Studio's relationship with the Wix contracting entity:

- Where the contracting entity is Wix Online Platforms Limited (Ireland), Karpo Studio's services to Wix fall under the EU reverse-charge mechanism (Art. 196 of the EU VAT Directive 2006/112/EC, implemented in Germany via § 13b UStG). VAT is accounted for by Wix in Ireland; Karpo Studio's invoices to Wix show no German VAT and carry a reverse-charge note.

- Where the contracting entity is Wix.com Ltd (Israel) or another entity outside the EU, the services are treated as export of services to a non-EU recipient. They are outside the scope of German VAT (§ 3a Abs. 2 UStG); Karpo Studio's invoices to Wix again show no German VAT.

End-customers and merchants are not invoiced by Karpo Studio. Any VAT a merchant pays in connection with the App is invoiced by Wix as part of the merchant's subscription, under Wix's own VAT registrations.

The App runs on Wix's infrastructure. Karpo Studio cannot guarantee a specific uptime independent of Wix's platform availability. Karpo Studio targets a reasonable best-effort response to outage reports submitted via the in-app "Report a bug" form or to info@karpo.studio, but does not warrant any specific SLA. Wix's own platform availability is governed by Wix's terms.

The App's source code, design, and trademarks are owned by Karpo Studio. Merchants receive a limited, non-exclusive, non-transferable, revocable right to use the App on their installed Wix site for the duration of an active installation. Merchants retain all rights to their own business data and to feedback submitted by their customers.

To the maximum extent permitted by mandatory law (notably § 309 BGB):

- The App is provided "as is" with no warranty of merchantability, fitness for a particular purpose, or non-infringement beyond what is required by mandatory law.

- Karpo Studio's aggregate liability for any claim arising from the App is limited to the revenue share Karpo Studio has actually received from Wix in respect of the affected merchant's installation in the twelve (12) months preceding the claim.

- Karpo Studio is not liable for indirect, consequential, incidental, or punitive damages.

- Mandatory liability under the German Product Liability Act (Produkthaftungsgesetz), for personal injury or death caused by negligence, and for liability arising from intentional misconduct or gross negligence, is unaffected by this section.

Karpo Studio is not responsible for Wix's platform or for any third-party service (shipping carriers, Google Reviews, Wix Loyalty, etc.) the App reads from or links to.

The merchant shall indemnify Karpo Studio against third-party claims arising from the merchant's unlawful use of the App, the merchant's breach of these Terms, or the merchant's relationship with its own customers (including data-protection claims that are properly the merchant's responsibility as controller — see Privacy Policy

A merchant may uninstall the App at any time from the Wix Dashboard. On uninstall:

- The App's UI is removed from the merchant's site and Dashboard.

- Configuration and feedback data remain in the merchant's own Wix Data collections (`customer-feedback`, `app-settings`). Karpo Studio cannot delete data that is hosted on the merchant's infrastructure. The merchant may delete those collections through the Wix CMS / Wix Data interface.

- Surviving clauses: liability (§ 10), indemnity (§ 11), intellectual property (§ 9), and German jurisdiction (§ 13).

Karpo Studio may terminate access if the merchant materially breaches these Terms or if Wix removes the App from the marketplace.

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on the International Sale of Goods. Mandatory consumer-protection laws of the merchant's habitual residence are unaffected.

For disputes with merchants acting in a commercial capacity (B2B), the courts of Berlin are the exclusive venue. For disputes with consumers, the statutory venue applies.

The European Commission's Online Dispute Resolution (ODR) platform was permanently deactivated on July 20, 2025 under Regulation (EU) 2024/3228. The platform is no longer available.

We encourage merchants to contact us directly before pursuing any formal dispute resolution. We are committed to resolving complaints fairly and promptly.

Karpo Studio may amend these Terms to reflect changes in the App's functionality, Wix's requirements, or applicable law. Material changes will be announced via the App's in-dashboard "What's new" notification at least 30 days before they take effect. Continued use after that period constitutes acceptance.

If any provision of these Terms is held invalid or unenforceable, the remainder remains in effect. The invalid provision will be replaced by a valid provision that comes closest to the parties' original intent.

By installing or continuing to use the Thank You Page Suite App after the "Last updated" date above, the merchant acknowledges these Terms.
